The Law Firm’s team has extensive experience in providing services to commercial law companies, both in the preparation and amendment of contracts and statutes, as well as in handling the processes of merger, division, transformation and liquidation of companies. We also provide ongoing legal services to entrepreneurs, including companies and partnerships.
We prepare and conduct shareholders’ meetings, participate in meetings of bodies (management boards, supervisory boards) and represent companies in registration and changes of entries in the National Court Register, as well as in disputes regarding the validity of resolutions of bodies. The law firm regularly advises the management boards of several dozen commercial law companies on corporate matters, adopted resolutions, and internal and organizational regulations.
We have carried out many transformations of individual entities into partnerships and capital companies, as well as civil partnerships and partnerships into capital companies. We handle transformation processes comprehensively, with the participation of a legal advisor, tax advisor and certified auditor.
We have registered dozens of companies in the online S24 procedure, and we have also made changes to company agreements and their bodies in the KRS register of entrepreneurs.
We also ensure that companies fulfill their reporting obligations to the National Court Register and supervisory authorities. Our activity in this area of law focuses primarily on:
- establishing and registering commercial law companies, starting from the preparation of the company’s articles of association, through comprehensive registration proceedings, also under the S24 procedure;
- conducting registration proceedings in the National Court Register regarding current changes in company structures;
- organizational transformation of companies, mergers and divisions of companies;
- representation at shareholders’ meetings and legal services to company bodies;
- conducting proceedings to repeal and declare invalid resolutions of the shareholders’ meeting;
- conducting proceedings regarding civil liability of members of company bodies;
- legal support for sales/purchase transactions of enterprises and their organized parts;
- representing entities in bankruptcy and restructuring proceedings by preparing, in particular, applications for declaring bankruptcy, reporting receivables, as well as representing creditors at creditors’ meetings;
- transformation of entrepreneurs into commercial law companies in all configurations provided for in the Commercial Companies Code;
- deleting companies from the National Court Register, in liquidation and simplified mode,
- permanent legal services for companies.
